1. Agreement To Terms

By accessing or using Retain'D ("the Service") operated by RetainD LLC, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service. These Terms apply to all law firms, attorneys, and users who access or use the Service.

2. Description of Service

Retain'D provides AI-powered client intake automation for law firms, including the Ella AI chat widget, lead qualification, calendar booking integrations, automated follow-up communications, and email reporting. The Service is provided on a monthly subscription basis.

3. Subscription and Billing

• Subscriptions are billed monthly in advance
• Solo Plan: $199/month for individual attorneys
• Firm Plan: $349/month for firms with two or more attorneys
• A 30-day free trial is available with no credit card required
• After the trial, your card will be charged automatically
• You may cancel at any time before your next billing date
• No refunds are provided for partial months
• Prices may change with 30 days notice

4. Acceptable Use

You agree to use Retain'D only for lawful purposes. You may not:

• Use the Service to mislead or deceive potential clients
• Violate any applicable laws or regulations including bar association rules
• Attempt to access other firms' data or accounts
• Reverse engineer or attempt to extract the source code
• Use the Service for any purpose other than legal client intake
• Share your account credentials with unauthorized parties

5. Attorney Responsibility

You are solely responsible for ensuring that your use of Retain'D complies with all applicable bar association rules, ethics rules, and professional conduct requirements in your jurisdiction. Retain'D does not provide legal advice and is not a law firm. The Ella AI assistant is a technology tool — all attorney-client relationships and legal representations are solely between you and your clients.

6. Data Ownership

You retain ownership of all client and lead data collected through your use of Retain'D. By using the Service, you grant RetainD LLC a limited license to store and process this data solely to provide the Service. We will never sell your client data to third parties.

7. Confidentiality

RetainD LLC treats all client and lead information as confidential. We implement industry-standard security measures to protect your data. However, you acknowledge that no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

8. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and are not liable for any downtime, outages, or service interruptions. We will provide advance notice of scheduled maintenance where possible.

9. Limitation of Liability

To the maximum extent permitted by law, RetainD LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost clients, resulting from your use or inability to use the Service. Our total liability shall not exceed the amount paid by you in the three months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" without warranty of any kind. We do not warrant that the Service will meet your specific requirements, that Ella will qualify every lead correctly, or that automated communications will result in client conversions. Results may vary by firm, practice area, and market.

11. Termination

You may cancel your subscription at any time through your account settings or by emailing hello@retaindai.com. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, you may request export of your data within 30 days.

12. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New York County, New York.

13. Changes To Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email at least 30 days in advance. Continued use of the Service after changes constitutes acceptance of the updated Terms.
